This Advertising Agreement ("Agreement") is entered into as of the date of acceptance by the Advertiser ("Effective Date") by and between Education Law Association , a business entity with its principal place of business located at 1233 Bainbridge St PH3, Philadelphia, PA 19147, USA ("Advertiser"), and any third-party advertising platform or publisher ("Publisher").

The purpose of this Agreement is to outline the terms and conditions under which advertisements for the Advertiser’s services will be displayed on the Publisher’s platform. This Agreement complies with the requirements of Microsoft Ads and other applicable advertising regulations.

Publisher Information:
The Publisher is any entity or platform authorized to display advertisements on behalf of the Advertiser, including but not limited to Microsoft Ads, Google Ads, or other digital advertising platforms.

2. Scope of Advertising Services

The Advertiser agrees to provide the Publisher with content, materials, and creative assets for use in advertising campaigns. These advertisements will promote the Advertiser’s services related to education law, legal consultations, and associated offerings.

The Publisher agrees to display the advertisements on its platform(s) in accordance with the targeting, budget, and scheduling preferences specified by the Advertiser.

3. Payment Terms

• The Advertiser agrees to pay the Publisher for advertising services rendered based on the agreed-upon pricing model (e.g., cost-per-click (CPC), cost-per-impression (CPM), or flat fee).
• Payments will be processed through the Publisher’s designated payment system.
• Invoices, if applicable, will be sent to the Advertiser’s email address: drsughruephd@outlook.com .
• All payments are due within 30 days of the invoice date unless otherwise specified by the Publisher.

4. Compliance with Laws and Regulations

The Advertiser warrants that all advertisements comply with applicable laws, regulations, and industry standards, including but not limited to:

• The Federal Trade Commission (FTC) guidelines.
• Microsoft Ads policies and terms of service.
• Any other relevant advertising regulations in the United States.

The Advertiser shall not engage in any deceptive, misleading, or fraudulent practices in connection with the advertisements.

5. Intellectual Property

• The Advertiser retains all intellectual property rights to the content and materials provided for the advertisements.
• The Publisher is granted a limited, non-exclusive license to use the Advertiser’s materials solely for the purpose of fulfilling its obligations under this Agreement.

6. Indemnification

The Advertiser agrees to indemnify, defend, and hold harmless the Publisher from any claims, damages, losses, or liabilities arising out of:

• The content or subject matter of the advertisements.
• Any breach of this Agreement by the Advertiser.

The Publisher agrees to indemnify the Advertiser for any claims arising from the Publisher’s gross negligence or willful misconduct.

7. Termination

• Either party may terminate this Agreement at any time by providing written notice to the other party.
• Upon termination, the Advertiser will remain responsible for any outstanding payments owed to the Publisher for services rendered prior to the termination date.

8. Limitation of Liability

• Neither party shall be liable for any indirect, incidental, consequential, or punitive damages arising out of this Agreement.
• The Publisher’s total liability to the Advertiser shall not exceed the total amount paid by the Advertiser to the Publisher under this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of laws principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.

By proceeding with the advertising campaign, the Advertiser acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Agreement.
